General Terms and Conditions of Sale – B2B

These General Terms and Conditions of Sale apply to all orders placed with Grestel – Produtos Cerâmicos, S.A. by professional clients (B2B).

By submitting an order, the client acknowledges and accepts these terms and conditions in full.


1. Orders and Quantities

There is no minimum order value (€) required.

Minimum quantities per box must always be respected, as specified for each item.

Additional information regarding units per box is identified by [X] next to each reference in the catalogue.

All orders are subject to confirmation and product availability.


2. Prices

All prices are exclusive of VAT, which will be applied at the legal rate in force when applicable.

Grestel reserves the right to change prices without prior notice. The prices applied will always be those in force at the time of order confirmation.


3. Payment Terms

Payment must be made in advance by bank transfer, unless otherwise agreed in writing.

Production and shipment may only proceed after full payment has been received.


4. Shipping Conditions

Intra-Community Shipments (EU)

All shipments are subject to transport costs, which are calculated after the order is prepared, based on the final weight and dimensions of the shipment.

Shipping costs will be communicated to the client for approval prior to dispatch. Once approved, these costs will be added to the final invoice.

Extra-Community Shipments (Outside EU)

All shipments to destinations outside the European Union are arranged under the responsibility of the client, unless otherwise agreed.


5. Delivery Times (Intra-Community Shipments)

Delivery times are confirmed at the time of shipment, depending on the final destination, selected carrier and shipping method.


6. Receipt of Goods – Transport Damage

(Applicable when transport is arranged by Grestel)

In case of visible damage to the shipment (boxes or pallets) upon delivery, the client must:

  • Record all damages on the carrier's delivery note

  • Take clear photographs of the damaged boxes or pallets

Without this documentation it will not be possible to validate the claim with the carrier, and the complaint may therefore not be accepted.


7. Claims and Non-Conformities

Any defects, non-conformities, quantity discrepancies or packaging issues must be reported within a maximum of 5 working days after receipt of the goods.

Claims submitted after this period may not be considered.


8. Retention of Title

All goods supplied remain the property of Grestel – Produtos Cerâmicos, S.A. until full payment of the corresponding invoice has been received.


9. Limitation of Liability

Grestel’s liability is strictly limited to the replacement of defective products or the reimbursement of their purchase value.

Under no circumstances shall Grestel be liable for indirect damages, commercial losses, loss of profit or other consequential damages.


10. Product Representation and Brand Use

Any presentation or sale of Grestel products on websites, online platforms or other digital channels requires prior approval from Grestel.

This requirement ensures compliance with brand image, communication guidelines and product representation standards.


11. Applicable Law and Jurisdiction

These Terms and Conditions are governed by Portuguese law.

Any dispute arising from the interpretation or execution of these terms shall be subject to the jurisdiction of the courts of Aveiro, Portugal, with express waiver of any other jurisdiction.
